Terms of Service

The terms that govern our relationship online.

Please read these terms carefully. They describe how you may use this website, the service we provide through it, and the obligations of each side.

§ 01

Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you and Matt Caiola, a licensed Connecticut real estate salesperson affiliated with Higgins Group Private Brokerage (together, “we,” “us,” or “our”). By accessing or using caiolafinehomes.com (the “Site”), submitting a form, or creating an account, you agree to these Terms. If you do not agree, please do not use the Site.

§ 02

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Site. By using the Site, you represent that you meet these requirements and that your use will comply with all applicable laws.

§ 03

Accounts

Some Site features, including saved homes and saved searches, require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information at registration and to keep your account information current. We may suspend or terminate an account that is used in violation of these Terms.

§ 04

Acceptable Use

You agree not to:

  • Copy, download, scrape, harvest, or bulk-extract listing data, photographs, or other content from the Site, except for personal, non-commercial use consistent with MLS and IDX rules.
  • Reverse engineer, decompile, or attempt to derive source code for any part of the Site.
  • Use the Site to transmit spam, malware, or unlawful content.
  • Impersonate any person or misrepresent your affiliation.
  • Interfere with the Site’s operation, security, or availability.
  • Use automated means (bots, crawlers, spiders) without our prior written consent, except for search-engine indexing consistent with our robots.txt.
  • Use the Site for any unlawful, deceptive, or discriminatory purpose.

§ 05

User-Submitted Content

When you submit information to the Site, such as through a contact or valuation form, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that information for the purposes described in our Privacy Policy and these Terms. You represent that you have the right to submit the information and that it does not violate anyone else’s rights or any law.

§ 06

Intellectual Property and DMCA

The Site, including its text, design, graphics, logos, and original photography, is owned by us or our licensors and is protected by copyright, trademark, and other laws. Except for the limited, non-commercial viewing use granted by these Terms, you may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

If you believe content on the Site infringes your copyright, please follow the process described in our DMCA / Copyright Notice. Notices should comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) and be sent to mattcaiola@higginsgp.com.

§ 07

MLS and IDX Listing Data

Property listings displayed on the Site are supplied by third-party MLS and IDX feeds, including SmartMLS, Inc. Listing data is deemed reliable but is not guaranteed, and is provided exclusively for consumers’ personal, non-commercial use. Listings may be withdrawn, sold, or price-adjusted without notice. All property descriptions, dimensions, condition disclosures, tax information, and photographs originate with the seller and listing broker, not with us. You should independently verify any fact that matters to your decision.

§ 08

Home Valuation (AVM) Disclaimer

The Site may display automated home-value estimates produced by automated valuation models (“AVMs”). AVM estimates are not appraisals, are not prepared by a licensed appraiser, and should not be relied upon as an accurate statement of market value or as a basis for any lending, tax, or legal decision. Actual market value can only be determined by a professional appraisal or comparative market analysis. If you would like a tailored comparative market analysis, please request one.

§ 09

No Agency Relationship

Submitting a contact form, home valuation request, newsletter signup, or account registration on the Site does not create a brokerage, agency, fiduciary, or client relationship. Under Connecticut law, a buyer- or seller-representation relationship with a licensed real estate salesperson is formed only upon the execution of a written representation agreement that complies with applicable Connecticut regulations. Please do not send us confidential information expecting fiduciary protections until a written representation agreement is in place.

§ 10

Licensing and Brokerage Disclosure

Matt Caiola is a licensed real estate salesperson in the State of Connecticut. All real estate services advertised on the Site are offered through Higgins Group Private Brokerage, a licensed Connecticut real estate broker. Any compensation, agency representation, or transactional obligation runs through Higgins Group Private Brokerage as the supervising broker.

§ 11

Communications Consent

When you provide an email address or phone number through a form on the Site, you consent to receive communications from us about your inquiry and our services. You may opt out of marketing emails through the unsubscribe link in any message, or by emailing mattcaiola@higginsgp.com. Current public forms do not collect consent for marketing text messages. If we add a marketing text-message option, it will require a separate express consent checkbox, will not be required as a condition of service, and will include STOP opt-out language and message/data-rate disclosures.

§ 12

Third-Party Links and Services

The Site may contain links to third-party websites or services, including listing brokerages, map providers, and listing portals. We do not endorse and are not responsible for the content, accuracy, or privacy practices of any third-party site.

§ 13

Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site (including listings, valuations, tax data, and school information) is accurate or complete.

§ 14

Limitation of Liability

To the fullest extent permitted by law, in no event will Matt Caiola, Higgins Group Private Brokerage, or our respective affiliates, agents, or licensors be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to your use of the Site, even if advised of the possibility of such damages. Our aggregate liability for any direct damages arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100).

Nothing in this section limits any liability that cannot be limited under applicable law, including under the Connecticut Unfair Trade Practices Act (Conn. Gen. Stat. § 42-110a et seq.) or any other non-waivable consumer-protection law.

§ 15

Indemnification

You agree to indemnify and hold harmless Matt Caiola, Higgins Group Private Brokerage, and our affiliates from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any applicable law or third-party right.

§ 16

Modifications

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice. Continued use of the Site after an update means you accept the revised Terms. If you do not agree, you should stop using the Site.

§ 17

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, if required by law, or at our reasonable discretion. Provisions that by their nature should survive termination, including disclaimers, limitation of liability, indemnification, governing law, and dispute resolution, will survive.

§ 18

Governing Law and Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Subject to the arbitration provisions below, any action arising out of or relating to these Terms or the Site must be brought in the state or federal courts located in Fairfield County, Connecticut, and you consent to personal jurisdiction in those courts.

§ 19

Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal resolution

Before filing any formal claim, you agree to contact us at mattcaiola@higginsgp.com and try in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration

If we cannot resolve the dispute informally, any claim arising out of or relating to these Terms, the Site, or our services will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified here. The arbitration will be conducted in Fairfield County, Connecticut, or remotely, at your election. The arbitrator may award any relief that a court could award, but may not consolidate claims or preside over class or representative proceedings.

Class-action waiver

You and we each waive the right to bring claims against the other as a class action or in a representative capacity. If this waiver is held unenforceable, the entire arbitration agreement in this section is void.

Carve-outs

Either party may (a) bring an individual action in small-claims court for any matter within that court’s jurisdiction, and (b) seek injunctive or equitable relief in court to protect intellectual property rights.

30-day opt-out

You may opt out of this arbitration agreement by emailing mattcaiola@higginsgp.com within 30 days after you first accept these Terms, stating your name, the email address associated with your use of the Site, and a clear statement that you opt out of the arbitration agreement. Opting out will not affect any other term.

§ 20

Miscellaneous

Entire agreement

These Terms, together with our Privacy Policy and any additional terms that apply to a specific feature, are the entire agreement between you and us regarding the Site.

Severability

If any provision is held unenforceable, the remaining provisions will remain in effect.

No waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

We may provide notices to you by email or by posting on the Site. You may send notices to us at the contact address below.
